Terms of Use

You acknowledge and accept the following terms (the “Terms”), which constitute the entire agreement between you and us with respect to your use of all or part of Shoplazza Shipping and the services, functions, and features included (the “Shipping Services”). These terms are for the orders in your Shoplazza store to be fulfilled by the US domestic courier. If you have any questions about these Terms, or you are unwilling to accept these Terms in whole or in part, please do not use or do cease using the Shipping Services immediately.

Shoplazza reserves the right to update and change these Terms for any reason by posting updates and changes to the Shoplazza website, and such amendments to these Terms are effective as of the date of posting. Your continued use of the Shipping Services constitutes your agreement to, and acceptance of, these Terms. You are advised to check these Terms from time to time for any updates or changes that may impact you. If you do not accept such changes/amendments, you must cease using the Shipping Services.

Capitalized undefined terms used in these Terms have the meanings given to them in the Shoplazza Terms (as defined below).

1. The Services
   
   

     

   1.1 Our Role Shoplazza serves only as an intermediary to help you integrate with service providers, which are designated to enable you to purchase shipping services, postage and print shipping labels (“Labels”) from the applicable carriers and track the orders. The Shipping Services allow you access to purchase the third-party shipping services (each a “Third-Party Shipping Service”) to assist you with fulfillment for the orders in your Shoplazza Store. Shoplazza is not the service provider of the Shipping Services. 

   1.2 The Service Providers We reserve the right to change the third service provider (the “Service Provider”) or suspend the Shipping Services at any time at our sole discretion, subject to the terms of our agreement with the Service Providers. By accepting these Terms, you are also accepting and agreeing to be bound by the applicable terms imposed by the Service Providers (the “Service Provider Terms”).

    

2. Your Responsibilities
   
   

   2.1 You are responsible for shipping to your customers. Shoplazza is not responsible for picking up, transporting, delivering or otherwise dealing with your shipment.

   2.2 Your use of a Third-Party Shipping Service is subject to, and you are responsible for compliance with all applicable terms and conditions governing your shipment with each Third-Party Shipping Service. You shall ensure that you are familiar with and consent to the terms on which the Shipping Services are provided by any Third-Party Shipping Service which you may choose to use.

   2.3 You are responsible for compliance with all local and international shipping and customs regulations.

   2.4 Utilization of the Shipping Services must be associated with orders in your Shoplazza Store. Labels may not be transferred or sold to a third party. You are permitted to charge or pass through your Shipping Fee to your customers at your discretion.

   2.5 You agree not to reproduce, duplicate, copy, sell, resell or exploit any portion of the Shipping Services, use the Shipping Services, or access the Shipping Services without the express written permission of Shoplazza. 

   2.6 Shoplazza will not be responsible for any local customs charges, import taxes or duties or any similar charges related to your shipments. You are the sole and fully responsible person to fulfill such responsibilities. You must figure out whether any of these charges will become due and arrange for their payment. If any such charges become due as a result of your use of the Shipping Services and are charged to Shoplazza by any competent authority, you agree to reimburse Shoplazza fully in respect of the same within 7 days of our demand.

   2.7  You are solely and exclusively responsible for accessing and using the Shipping Services. You must use the Shipping Services only (i) in a lawful manner and in compliance with all applicable laws and regulations; (ii) in accordance with these Terms, Shoplazza Terms of Service, Shoplazza Privacy Policy, Shoplazza Acceptable Use Policy and any other documentation directed to the Shipping Services (collectively, the “Shoplazza Terms”); and (iii) in a manner that does not infringe or attempt to infringe, misappropriate or otherwise violate any of our rights or those of any other person or entity. If anyone brings a claim against us, our affiliates, licensors, service providers and subcontractors, and/or each of our or their respective officers, directors, agents, professional consultants, employees or representatives, arising from or in connection with your acts or omissions relating to use of our Services, including, without limitation, actual or alleged violation of any laws, rules, regulations or other legal rights, or any breach of any term in these Terms, you shall indemnify and hold us and each of the parties identified above harmless from and against all damages, losses, and expenses of any kind (including, without limitation, reasonable legal fees and costs) related to such claim.

   2.8 In the event that there is any violation of any laws, rules, regulations or any discrepancy between the actual products shipped by you and the description provided of the corresponding Labels, including but not limited to weight, size, and product details, you shall be solely responsible for any costs or damage incurred and Shoplazza reserves the right to deduct them from the Authorized Payment Method and/or from your Shoplazza Payments account (including but not limited to pending, reserve (fixed and/or rolling), and available balances) directly without prior notice, to cover all the costs and damage associated with your non-compliant shipments or violations, including but not limited to penalties and fines.

   2.9 YOU AGREE TO USE OUR SERVICES AT YOUR OWN RISK. OUR SERVICES ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT ANY REPRESENTATION OR WARRANTY, WHETHER EXPRESS, IMPLIED, OR STATUTORY. WITHOUT LIMITING THE GENERALITY OF THE FOREGOING, WE SPECIFICALLY DISCLAIM ANY WARRANTIES RELATING TO TITLE, MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE AND NON-INFRINGEMENT. WE DO NOT MAKE ANY REPRESENTATIONS OR WARRANTIES THAT ACCESS TO ANY PART OR FEATURE OF OUR SERVICES, OR ANY OF THE MATERIALS CONTAINED THEREIN, WILL BE CONTINUOUS, UNINTERRUPTED, TIMELY, ERROR-FREE, OR SECURE. OPERATION OF OUR SERVICES MAY BE INTERFERED WITH BY NUMEROUS FACTORS OUTSIDE OF OUR CONTROL. WE MAKE NO REPRESENTATION OR WARRANTIES AS TO THE QUALITY, SUITABILITY, USEFULNESS, ACCURACY, OR COMPLETENESS OF OUR SERVICES OR ANY MATERIALS CONTAINED THEREIN.

   SHOPLAZZA SHALL HAVE NO LIABILITY WHATSOEVER ARISING FROM OR RELATING TO YOUR USE OF THE Shipping Services, INCLUDING BUT NOT LIMITED TO ANY DIRECT, SPECIAL, EXEMPLARY, PUNITIVE, INDIRECT, INCIDENTAL OR CONSEQUENTIAL DAMAGES, INCLUDING BUT NOT LIMITED TO DAMAGES FOR LOSS OF PROFITS, GOODWILL, USE, DATA OR OTHER TANGIBLE OR INTANGIBLE LOSSES OF ANY KIND (INCLUDING LOSS OR DAMAGE TO GOODS SHIPPED USING SERVICES), WHETHER BASED IN CONTRACT, TORT, STRICT LIABILITY OR OTHERWISE, ARISING OUT OF OR IN ANY WAY CONNECTED WITH THE GLOBAL SHIPPING SERVICES. IN NO EVENT SHALL SHOPLAZZA'S ENTIRE LIABILITY TO YOU EXCEED THE PRICE PAID BY YOU FOR THE Shipping Services FOR THE GOODS TO WHICH YOUR CLAIM RELATES.

3. Fees
   

    

   3.1 You agree that you shall pay the applicable shipping fee for all purchases completed through the Shipping Services (the “Shipping Fees”). Unless otherwise stipulated in these Terms, the Shipping Fees in connection with the Shipping Services shall be governed by the provisions set forth in Section 5 Payment of Fees of Shoplazza Terms of Service. 

   3.2 The Shipping Services is provided on a prepaid basis, and you may access and use the Shipping Services only after you have topped up your account. After each successful top-up of your account, a statement detailing the top-up amount will appear on the Account page of your Shoplazza administration console. Any use of the Shipping Services will result in a real-time charge to your account balance. If your account balance is insufficient to pay for any Shipping Fees incurred, we reserve the right to  directly deduct any overdue and outstanding Shipping Fees from your Authorized Payment Method, and/or from your Shoplazza Payments account (including but not limited to pending, reserve (fixed and/or rolling), and available balances) and your access to and use of the Shipping Services will be suspended until all outstanding Shipping Fees are paid in full. While we reserve the right to restrict your purchase of new Labels or suspend the Shipping Services in the event that any outstanding Shipping Fees remain due but unpaid, this does not relieve you of your obligation to pay us any outstanding fees and any other liabilities under applicable laws. 

   3.3. All prepaid amounts and any charges are non-refundable. 

   3.4 Consumption, top-up, charges and account balance can be accessed through your Shoplazza administration console, but please note that there may be delays in updating the data contained therein.

   3.5 You may cancel your Labels subject to the applicable terms of conditions of Third-Party Shipping Service carriers. Any Shipping Fees refunds of the successful cancellation of Labels will be directly remitted to your top-up account and you could refer to the invoice for details.   

   3.6 Labels may be audited by the applicable carrier for weight, dimensions, mail class, package type and zip or postal code. If an audit reveals that the Labels you've purchased contain either insufficient or excess postage, additional Shipping Fees may be applied to you. You will be able to review any adjustments of additional Shipping Fees on the Waybill Management page of your Shoplazza administration console.

4. Personal Data and Compliance
   
   

   4.1 Without limiting Shoplazza’s rights under the Shoplazza Terms, Shoplazza may retain and process Personal Data where needed to comply with our legal and regulatory obligations, for security reasons and to update our Shipping Services in accordance with Shoplazza Privacy Policy.

   
   

   4.2 In providing the Shipping Services, Shoplazza may make available to the Service Providers of the information regarding delivery information of your order that help you process your order delivery. You affirm that your privacy policy fully discloses to your customers these types of data collection and use, including sharing this data with Shoplazza and the Service Providers, and the Service Providers using these data.

5. Modification, Suspension and Termination
   
   

   5.1 We shall have the right to modify, discontinue, suspend, or terminate all or part of the operation of the Shipping Services and/or your access to the Shipping Services at any time, in our sole and absolute discretion and without any notice. We shall assume no responsibility for any such modification, suspension, or termination.
