POS Equipment Terms

You acknowledge and accept the following terms (the “Terms”), including Shoplazza Terms of Service, Shoplazza Privacy Policy and Shoplazza Acceptable Use Policy (collectively, the “Shoplazza Terms”), which are incorporated herein by reference, which constitute the entire agreement between you and us with respect to the purchase, provision and use of the POS equipment (the “POS Equipment”) provided by Shoplazza to you, except for the POS Services involved, which shall be governed by applicable Shoplazza Terms. In case of any conflict between these Terms and the Shoplazza Terms, these Terms shall prevail only within the scope of POS Equipment. 

 

  1. We cannot guarantee the immediate availability of the POS Equipment. The availability of the POS Equipment may be affected by potential inventory storages or other fulfillment issues. The per-unit price of the POS Equipment specified in the Order (as defined below) is subject to adjustment due to the change in vendor supply.
  2. We are not the manufacturer of any POS Equipment provided under these Terms. The warranty of the POS Equipment will be subject to the relevant terms and conditions of the manufacturers or third-party vendor. The warranty does not cover any damages caused by your misuse, abuse, unauthorized modification, improper storage conditions, or damages caused by force majeure events. We will provide reasonable support and maintenance service for the POS Equipment. Any additional support beyond the scope of standard services may be subject to additional charges. In connection with the POS Equipment, Shoplazza’s total liability under each Order shall be limited to the purchase price of the POS Equipment paid by you.
  3. Prior to purchase, we will provide you with a purchase quotation (the “Order”) containing details of quantities, specification, pricing, payment terms and any other necessary information regarding the POS Equipment selected by you. By signing the Order, which is legally binding on you upon the signature, you confirm the purchase of the selected POS Equipment. These Terms shall be incorporated in each Order by reference.
  4. The POS Equipment may not be provided, unless all applicable fees under respective Order are paid. We shall not be liable for any failure to provide any POS Equipment due to your delay in payment of any fees.
  5. You must use the POS Equipment only (i) in a lawful manner and in compliance with all applicable laws and regulations; (ii) in accordance with these Terms, the Shoplazza Terms and any other documentation from us, and any other documentation directed to the POS Equipment; and (iii) in a manner that does not infringe or attempt to infringe, misappropriate or otherwise violate any of our rights or those of any other person or entity.
  6. If the provision of the POS Equipment is affected by force majeure such as typhoons, earthquakes, tsunamis, floods, power outages, wars, hackers, government actions, control and interruptions or failures of utilities or telecommunications, supply chain disruptions, unreasonable substantial increases in supply costs, the end-user’s location or other reasons beyond our reasonable control, causing the provision of the POS Equipment occurs errors, delays, interruptions, you understand and agree that we do not assume any responsibility.
  7. We, our licensors, and our suppliers exclusively own all right, title, and interest in and to all intellectual property rights including but not limited to patents, trademarks, copyrights, trade secrets, and any other proprietary rights, embodied in or related to the POS Equipment provided under these Terms. You are granted a non-exclusive, non-transferable, revocable license to use the POS Equipment solely for its intended purpose. This license does not include any rights to modify, reverse engineer, disassemble, or create derivative works based on the POS Equipment. Nothing under these Terms shall be construed as a transfer of ownership of any intellectual property rights to you.
  8. We may update these Terms accordingly from time to time, at our sole and absolute discretion, including, without limitation, making any updates to satisfy business, legal or policy requirements. All changes will be effective as soon as we post them on https://www.shoplazza.com/pos-equipment-terms. You are responsible for regularly reviewing these Terms and checking the website for updates. The continued purchase of POS Equipment by you after the effective date of the updated Terms shall constitute your acceptance of the updated Terms.
